Welcome to Northwind Trade LLC. These Terms and Conditions (the “Agreement”) govern your use of our website located at northwindtrade.shop (the “Site”) and your purchase of any products offered by Northwind Trade LLC, including but not limited to Bed Throws, Blankets, Duvet Covers, Pillow Inserts, Quilts, and Comforters (collectively, “Products”). By accessing the Site, placing an order, or otherwise interacting with our services, you agree to be bound by this Agreement. Please read it carefully. If you do not agree with any part of these Terms, you must not use the Site or purchase our Products.

This Agreement is a legally binding contract between you (“Customer,” “you,” “your”) and Northwind Trade LLC, a limited liability company organized under the laws of the State of New Mexico, with its principal place of business at 1209 MOUNTAIN ROAD PL NE, STE R, ALBUQUERQUE, NM 87110, and our contact email anhnln1512@gmail.com and phone +840329633706. References to “Northwind,” “we,” “us,” or “our” refer to Northwind Trade LLC.

We reserve the right to update, change, or replace any part of these Terms and Conditions at any time without prior notice. Changes will be effective immediately upon posting to the Site. Your continued use of the Site following any changes constitutes your acceptance of the modified Terms. It is your responsibility to check this page periodically for updates. The date of the last revision is noted at the bottom of this page.

1. Eligibility and Account Registration

1.1 Age Requirement

By using the Site or purchasing Products, you represent that you are at least 18 years old (or the age of majority in your state of residence) and have the legal capacity to enter into a binding contract. If you are under 18, you may only use the Site under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

1.2 Account Creation

You may browse the Site as a guest. However, to complete a purchase, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately at anhnln1512@gmail.com of any unauthorized use of your account or any other breach of security. Northwind Trade LLC shall not be liable for any loss or damage arising from your failure to comply with these obligations.

1.3 Accuracy of Information

You warrant that all information you provide to us, including billing address, shipping address, payment details, and email, is true and accurate. We reserve the right to refuse service, terminate accounts, or cancel orders if we suspect that any information provided is false, misleading, or incomplete.

2. Products, Descriptions, and Pricing

2.1 Product Representations

We make every effort to display as accurately as possible the colors, textures, and dimensions of our Bed Throws, Blankets, Duvet Covers, Pillow Inserts, Quilts, and Comforters on the Site. However, the actual colors you see depend on your monitor or device settings, and we cannot guarantee that your device will accurately display the Products. Slight variations in color, pattern placement, or size (within industry-standard tolerances of up to 5%) are normal and do not constitute a defect.

2.2 Product Availability

All Products are subject to availability. We reserve the right to discontinue any Product at any time without notice. If a Product becomes unavailable after you place an order, we will notify you via email and offer you the option to either wait for restocking (if applicable), receive a substitute of comparable quality (with your consent), or cancel the order for a full refund.

2.3 Pricing and Taxes

All prices listed on the Site are in United States Dollars (USD). Prices are subject to change without notice, but changes will not affect orders that have already been accepted by us (see Section 4.2 below). Prices do not include shipping charges or applicable sales taxes. Shipping costs and taxes are calculated at checkout and added to your total. For orders shipped to addresses within New Mexico, we are required to collect state and local sales tax. For orders shipped to other US states, you may be responsible for use tax; we do not collect such taxes unless we establish a physical presence (nexus) in that state. International customers are responsible for any customs duties, VAT, or import fees levied by their country.

2.4 Typographical Errors

In the event that a Product is listed at an incorrect price due to a typographical error or error in pricing information from our suppliers, we reserve the right to refuse or cancel any orders placed for the Product at the incorrect price, even if the order has been confirmed. If we cancel an order after your credit card has been charged, we will issue a full refund to your original payment method.

3. Orders, Acceptance, and Cancellation

3.1 Order Submission

When you place an order through northwindtrade.shop, you are making an offer to purchase the selected Products under these Terms. We are not obligated to accept your offer. Order confirmation emails are automated and do not constitute acceptance of your order; they merely acknowledge that we have received your order.

3.2 Order Acceptance

Acceptance of your order occurs when we ship the Products (or the first part of a split shipment) and send you a shipping confirmation email. At that moment, a binding contract is formed between you and Northwind Trade LLC for the Products shipped. We reserve the right to reject any order for any reason, including but not limited to: product unavailability, suspicion of fraud, inability to verify payment information, shipping address restrictions, or violation of these Terms.

3.3 Order Cancellation by You

You may request to cancel your order within two (2) hours of placement by replying to your order confirmation email or contacting us at anhnln1512@gmail.com with “CANCEL – [Order Number]” in the subject line. After two hours, we may have already begun processing your order for shipment, and cancellation may not be possible. If the order has already been shipped, you must follow our Refund and Return Policy to return the Products at your own cost (unless the return is due to our error). We do not guarantee cancellation requests made after the two-hour window.

3.4 Order Cancellation by Us

We reserve the right to cancel any order for any lawful reason, including but not limited to:

  • The Product is out of stock and will not be restocked.

  • We detect suspicious or fraudulent activity.

  • Your billing address does not match the address on file with your card issuer.

  • We are unable to verify your identity.

  • You violate any provision of these Terms.

If we cancel your order, we will notify you by email and issue a full refund to your original payment method within 5 business days. We are not liable for any consequential damages resulting from such cancellation.

3.5 Order Limits

We may, in our sole discretion, limit or prohibit orders that appear to be placed by resellers, dealers, or distributors without our prior written consent. We reserve the right to limit the quantity of Products purchased per person, per household, or per order. If you wish to purchase Products for resale, please contact us at anhnln1512@gmail.com to discuss wholesale arrangements.

4. Shipping and Delivery

4.1 Shipping Policy

All shipments are subject to our Shipping Policy, which is incorporated into these Terms by reference. The Shipping Policy contains important information about processing times, delivery estimates, carriers, shipping rates, international shipping, and risk of loss. By placing an order, you agree to the terms of our Shipping Policy. In the event of any conflict between these Terms and the Shipping Policy, the Shipping Policy shall control with respect to shipping matters.

4.2 Delivery Estimates

Any delivery date or timeframe provided on the Site or in order confirmations is an estimate only and not a guarantee. Northwind Trade LLC shall not be liable for delays caused by carriers, weather, customs, strikes, pandemics, or any other event beyond our reasonable control. If a delay occurs, we will notify you as soon as practicable.

4.3 Risk of Loss

Title and risk of loss for Products pass to you upon our delivery of the Products to the common carrier (USPS, UPS, FedEx, or other). This means that if a package is lost or damaged in transit, you may need to file a claim with the carrier. However, as a courtesy, we will assist you in filing such claims and may, at our discretion, issue a refund or replacement while the claim is pending. Please refer to our Shipping Policy for detailed instructions on lost or damaged packages.

5. Returns, Refunds, and Warranty

5.1 Return and Refund Policy

All returns, refunds, and exchanges are governed by our Refund and Return Policy, which is incorporated into these Terms by reference. That policy includes the 30-Night Comfort Guarantee, eligibility conditions, return shipping costs, and the 1-Year Limited Warranty against manufacturing defects. By purchasing Products from us, you acknowledge that you have read and agree to our Refund and Return Policy.

5.2 No Refunds for Change of Mind After 30 Nights

Except as provided in the Refund and Return Policy for defective products, we do not accept returns or issue refunds for any reason after 30 calendar days from the date of delivery. “Change of mind,” “found a better price elsewhere,” “did not like the color,” and similar subjective reasons are only covered within the initial 30-night trial period.

5.3 Warranty Disclaimer

Except for the express 1-Year Limited Warranty described in our Refund and Return Policy, all Products are provided “as is” and “as available.” To the fullest extent permitted by law, Northwind Trade LLC disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some states do not allow limitations on implied warranties, so this limitation may not apply to you. In such states, the implied warranties are limited to the shortest period permitted by law (not to exceed one year).

6. Payment Methods and Security

6.1 Accepted Payment Methods

We accept payments via Stripe. The following payment methods are accepted: Visa (credit and debit), Mastercard (credit and debit), American Express, Discover, Apple Pay, and Google Pay. We do not accept PayPal, Venmo, CashApp, checks, money orders, wire transfers, or cryptocurrency at this time.

6.2 Billing Authorization

By providing a payment method, you represent that you are authorized to use that payment method. You authorize us (through Stripe) to charge the full amount of your order (including taxes, shipping, and any other fees) to the payment method you provide. If the payment method is declined, we may attempt to charge it again within 48 hours. If all attempts fail, your order may be canceled.

6.3 Payment Security

All payment transactions are processed by Stripe, a PCI Level 1 certified payment processor. Your credit card information is encrypted and never stored on our servers. However, no method of transmission over the Internet or electronic storage is 100% secure. While we use commercially reasonable efforts to protect your data, we cannot guarantee absolute security. You agree that you provide your payment information at your own risk.

6.4 Recurring Charges

Northwind Trade LLC does not currently offer subscription products. All charges are one-time. If we introduce subscription services in the future, separate terms will apply, and we will obtain your explicit consent before any recurring billing.

7. Intellectual Property Rights

7.1 Ownership

The Site and all of its content, including but not limited to text, graphics, logos, product images, videos, software, code, and the compilation thereof (collectively, “Content”), is the exclusive property of Northwind Trade LLC or our licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. The trademarks “Northwind Trade LLC,” “Northwind,” and any associated logos are unregistered or registered trademarks of Northwind Trade LLC. You may not use these trademarks without our prior written permission.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content for personal, non-commercial purposes only. You may not:

  • Republish, distribute, or reproduce any Content without our express written consent.

  • Modify, reverse engineer, or create derivative works based on the Site or its Content.

  • Use any data mining, robots, or similar data gathering tools on the Site.

  • Frame or mirror any part of the Site without our permission.

7.3 User-Generated Content

If you post reviews, comments, or other content on the Site (e.g., product reviews), you grant Northwind Trade LLC a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, and distribute such content in any media. You represent that you own or have the necessary rights to grant this license and that your content does not violate any third-party rights or applicable laws. We reserve the right to remove or edit any user-generated content for any reason.

8. Prohibited Conduct

When using the Site or interacting with Northwind Trade LLC, you agree not to:

  • Violate any applicable federal, state, local, or international law or regulation.

  • Infringe upon the intellectual property rights of Northwind Trade LLC or any third party.

  • Transmit any viruses, worms, malware, or other code of a destructive nature.

  • Attempt to gain unauthorized access to any portion of the Site, our servers, or any other systems.

  • Engage in any activity that interferes with the proper working of the Site or imposes an unreasonable load on our infrastructure.

  • Use the Site to harass, abuse, or harm another person.

  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.

  • Place orders using fraudulent payment information or with the intent to resell Products without our permission.

  • Bypass any security or access restrictions we implement.

Violation of this section may result in immediate termination of your account, cancellation of orders, and legal action. We reserve the right to report any unlawful activity to law enforcement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Northwind Trade LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of use, personal injury, or property damage arising out of or in connection with your use of the Site or the purchase or use of any Product, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising from these Terms or your purchase of Products shall not exceed the total amount you paid to Northwind Trade LLC for the specific Product giving rise to the claim, or one hundred dollars ($100), whichever is less. This limitation applies regardless of whether a remedy fails of its essential purpose.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you. In such states, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Northwind Trade LLC, its members, managers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms.

  • Your use of the Site or Products in a manner not authorized by these Terms.

  • Your violation of any rights of a third party.

  • Any content you submit to the Site.

  • Your breach of any representation or warranty made to us.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and any separate agreements whereby we provide you Products shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

11.2 Dispute Resolution – Mandatory Arbitration

Except for claims seeking injunctive relief or disputes relating to intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Products shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time the claim is filed. The arbitration shall take place in Bernalillo County, New Mexico, or by telephone/video conference if the claim is for less than $10,000. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted on an individual basis and not as a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against Northwind Trade LLC. If any court or arbitrator determines that this class action waiver is unenforceable, the entire arbitration provision (except for the governing law clause) shall be null and void.

11.3 Small Claims Court Exemption

Notwithstanding the arbitration provision, either party may bring an individual action in small claims court in Bernalillo County, New Mexico, provided the claim is within that court’s jurisdictional limits.

11.4 Time Limitation for Claims

Any claim or cause of action arising under these Terms or relating to your purchase of Products must be filed within one (1) year after the cause of action accrues. If not filed within that period, the claim is permanently barred.

12. Third-Party Links and Services

The Site may contain links to third-party websites or services (e.g., Stripe’s payment page, social media platforms) that are not owned or controlled by Northwind Trade LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. By using the Site, you expressly relieve us from any and all liability arising from your use of any third-party website. We encourage you to read the terms and conditions and privacy policies of any third-party website you visit.

13. Privacy Policy

Your use of the Site and the collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy.

14. Mobile Messaging Terms (If Applicable)

From time to time, Northwind Trade LLC may offer SMS or text message alerts regarding order status, promotions, or updates. If you opt in to receive such messages, you agree to receive automated marketing and transactional messages at the phone number you provide. Message and data rates may apply. You can opt out at any time by replying “STOP” to any message. We do not charge for these messages, but your carrier’s rates apply. For help, reply “HELP” or contact anhnln1512@gmail.com. We are not responsible for delayed or undelivered messages.

15. Force Majeure

Neither party shall be liable for any delay or failure in performance (other than payment obligations) resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, pandemics, epidemics, government orders, labor disputes, supplier failures, transportation interruptions, or cyberattacks. In the event of a force majeure, the affected party shall provide notice to the other party and shall use commercially reasonable efforts to resume performance as soon as practicable.

16. Severability and Waiver

16.1 Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.

16.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by an authorized representative of Northwind Trade LLC.

17. Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, Refund and Return Policy, and any other legal notices published by us on the Site, constitute the entire agreement between you and Northwind Trade LLC regarding your use of the Site and your purchase of Products. They supersede all prior or contemporaneous communications, proposals, and representations, whether electronic, oral, or written, between you and us.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

19. Additional Provisions for Specific Jurisdictions

19.1 California Residents

Under California Civil Code Section 1789.3, California consumers are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. If you have a complaint about Northwind Trade LLC, you may also contact us directly using the information in Section 18.

19.2 International Customers

If you are purchasing from outside the United States, you are responsible for ensuring that your purchase complies with all applicable import and export laws. Products sold by Northwind Trade LLC are intended for use in the United States; we make no representation that they comply with the safety, labeling, or other regulatory standards of any other country. You assume all risks associated with international shipping, including customs delays, seizure, or destruction.

19.3 Military and Diplomatic Addresses (APO/FPO/DPO)

We gladly ship to APO, FPO, and DPO addresses using USPS. However, delivery times may be significantly longer (up to 4–6 weeks). Risk of loss passes to you upon delivery to the military postal system. We cannot offer expedited shipping or real-time tracking for these addresses beyond the USPS tracking available.

20. Electronic Communications

By using the Site or sending emails to anhnln1512@gmail.com, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may withdraw this consent by discontinuing use of the Site and requesting removal of your information (subject to our Privacy Policy), but your purchase obligations remain binding.

21. Changes to These Terms

We reserve the right to modify these Terms and Conditions at any time. Material changes will be effective thirty (30) days after we post the updated Terms on the Site, except that changes addressing new functions of the Site or changes made for legal reasons will be effective immediately. Your continued use of the Site after the effective date constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Site and cancel any pending orders (subject to the cancellation provisions in Section 3.3).

The date of the most recent update is posted at the bottom of this page. We encourage you to review these Terms periodically.

22. Survival

The following sections shall survive any termination or expiration of these Terms: Intellectual Property Rights (Section 7), Limitation of Liability (Section 9), Indemnification (Section 10), Governing Law and Dispute Resolution (Section 11), Severability and Waiver (Section 16), Entire Agreement (Section 17), and any other provisions that by their nature should survive.

23. No Third-Party Beneficiaries

These Terms are for the benefit of Northwind Trade LLC and you. No other person or entity, including but not limited to any third-party beneficiary, shall have any right to enforce any term of these Terms.

24. Headings

The section headings used in these Terms are for convenience only and shall not affect the interpretation of any provision.

25. Acknowledgment

BY USING THE SITE OR PLACING AN ORDER FOR ANY PRODUCT FROM NORTHWIND TRADE LLC, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU ALSO AGREE THAT THESE TERMS, TOGETHER WITH THE INCORPORATED POLICIES, CONSTITUTE THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND NORTHWIND TRADE LLC, SUPERSEDING ANY PRIOR AGREEMENTS OR PROPOSALS, WHETHER ORAL OR WRITTEN.

If you do not agree to these Terms, do not use the Site or purchase our Products.
